Preamble
This agreement (the “Agreement”) is made this July 1, 2020 (“the Effective Date”) by and between the University of Baltimore (“UB”), a constituent institution of the University System of Maryland, and Anne Arundel Community College (“AACC” or “the community college”), a Maryland community college located in Arnold, Maryland to formalize an agreement, to be called the BeeLine Program, which allows students to be dually admitted at both institutions. This program is intended to increase collegiate engagement, academic progress and success, and degree completion. This agreement guides the responsibilities of both parties. Details about the program, including benefits, application process, and eligibility, are available on the University of Baltimore web site (www.ubalt.edu/beeline).
I. Responsibilities of the Parties

The initial term of the Agreement shall be for a period of five (5) years, commencing on the Effective Date and ending on July 2, 2025, at the end of which the Agreement may be renewed for a period of time and subject to terms and conditions agreed to by the parties.
Either party may terminate this Agreement by providing ninety (90) days’ written notice prior to the intended termination date to the other party. During the notice period the parties may discuss continuation of a formal relationship. If the Agreement is terminated, UB will honor students who are currently in the BeeLine Program and/or that have been admitted to UB at the time of termination. The parties shall meet, at least annually, to review changes in curriculum, programs and credential requirements for the purpose of determining whether or if the Agreement should be amended.

IV. FERPA
The parties will comply with all provisions of the federal Family Educational Rights and Privacy Act (“FERPA”) in all disclosures of FERPA protected information between AACC and UB. For example, the parties may be able to share personally identifiable information from a student’s record for purposes related to a student’s enrollment or transfer, per 34 C.F.R §§ 99.31 (a)(2) and 99.34. Also consistent with FERPA, the parties shall use reasonable methods to ensure that they provide only those education records that are necessary to the purpose for the disclosure as permitted under FERPA. Nothing in this Agreement may be construed to allow the parties to maintain, use, disclose, or share student record information in a manner not allowed under applicable laws or regulations.
V. Publicity
Neither Party shall use directly or by implication the names, trademarks, logos, or trade dress of the other Party, nor any of the other Party’s affiliates or contractors, nor any abbreviations thereof, or of any staff member, faculty member, student, or employee of the other Party in connection with any products, publicity, promotion, financing, advertising, or other public disclosure without the express prior written permission of an authorized official of the other Party.
VI. Non-Discrimination
There shall be no discrimination on the basis of age, race, color, religion, sex, disability, gender identity, veteran status, sexual orientation, marital status, genetic information, national origin or any other legally protected status in either the selection of students for participation in the BeeLine Program, or as to any actions taken pursuant to this Agreement.
VII. Amendments
This Agreement represents the entire and integrated agreement between the parties and supersedes all prior negotiations, representations or agreements, either written or oral. This Agreement may be amended only by written instrument signed by both parties.
VIII. Non-Waiver
The failure of either party to insist, in any one or more instances, on the performance of any of the terms, covenants, or conditions of this Agreement, or to exercise any of its rights, shall not be construed as a waiver or relinquishment of such term, covenant, condition or right with respect to further performance.
IX. Severability
Each provision of this Agreement shall be deemed to be a separate, severable and independently enforceable provision. The invalidity of any provisions shall not cause the invalidity of the remaining provisions hereof.
X. Counterparts
This Agreement may be executed in counterparts and each counterpart shall be deemed an original.
XI. Applicable Law
This Agreement, and all claims arising out of or relating to this Agreement, whether sounding in contract, tort, or otherwise, shall be governed in all respects by the laws of the State of Maryland, without reference to its conflicts of laws rules. AACC and UB expressly consent and submit to the jurisdiction of either the Maryland State Courts or Federal Courts in Maryland.

Memorandum of Understanding
between University of Baltimore and Anne Arundel Community College regarding a Streamlined Transfer Agreement
Preamble
This agreement (the “Agreement”) is made this 1st day of July, 2020 (“the Effective Date”) by and between the University of Baltimore (“UB”), a public university and member of the University System of Maryland located in Baltimore City, Maryland, and Anne Arundel Community College (“AACC”), a community college in Arnold, Maryland, to offer articulated transfer pathways where, after successful completion of AACC coursework, admissible AACC students will be able to transfer seamlessly to UB and enter programs leading to the Bachelor of Science and Bachelor of Arts degrees.
I. Purpose of Agreement
The Agreement affirms the commencement of a new initiative between AACC and UB to provide transfer pathways for AACC students (each, a “Transfer Pathway”) including the responsibilities of each party and opportunities for students who choose to follow a Transfer Pathway, in an effort to enhance and facilitate degree completion at the respective institutions.
For each department, major, or track at either AACC or UB desiring to establish a Transfer Pathway, the parties shall enter into a separate addendum under this Umbrella Agreement (each, an “Addendum”), specifying the department, major, or track of AACC sending students to UB, the department, major, or track of UB awarding transfer credit, and other relevant information as is set forth in Exhibit A hereto, “Program Articulation Agreement”.
The goal of this Agreement is to provide seamless transition from AACC’s associate degrees to UB’s baccalaureate degrees that offers AACC students incentives and structured transfer pathways for attaining four-year baccalaureate degrees from UB. In addition, this Agreement contributes to Maryland Higher Education Commission’s completion initiative by increasing associate degree attainment and providing momentum for baccalaureate completion. This agreement sets expectations for administrators, faculty and staff at both institutions, and fosters a working relationship between the parties.
II. Agreement Review and Term
The initial term of the Agreement shall be for a period of five (5) years, commencing on the Effective Date set forth above and ending on July 2, 2025, at the end of which the Agreement may be renewed in writing (postal or electronic correspondence) for consecutive 2-year periods, unless terminated by either party as set forth below.
Either party may terminate this Agreement by providing ninety (90) days’ written notice to the other party. During the notice period, the parties may discuss continuation of a formal relationship. If the Agreement is terminated, or a new one is entered into, UB will honor transfer students from AACC under the expiring agreement terms or under the new Agreement, whichever is chosen by the student and with agreement by both parties. The parties shall discuss, at least annually, review changes in curriculum, programs and credential requirements for the purpose of determining whether or if the Agreement should be amended.
III. Admissions for Special Programs
When applicable, the aforementioned program articulation agreements will outline specific requirements for admission into UB programs with additional admission requirements. UB guarantees admission to Qualifying Students from AACC who meet the requirements as specified in the applicable articulation agreements or in applicable UB admission requirements.
IV. Acceptance of Transfer Credits
Subject to the terms and conditions of this agreement, UB shall accept transfer of AACC credits up to a maximum of sixty-three (63) applicable semester credit hours. Addendums attached hereto and made a part hereof include articulated transfer pathways between AACC and UB.
V. Financial Aid and Transfer Scholarships
The Free Application for Federal Student Aid (FAFSA) is required to be eligible for need-based aid. Students must indicate UB’s school code of 002102 when submitting the FAFSA.
All eligible AACC students will be considered for merit- or need-based scholarships. Scholarship availability changes per year, students should reference the UB Scholarship Page for details.
AACC students are encouraged to apply for other UB scholarship opportunities as they become available. UB transfer scholarships shall be promoted on both UB and AACC web sites.
Students transferring to from AACC to UB who have completed an associate’s degree are encouraged to apply for the Maryland Higher Education Commission (MHEC) 2+2 Transfer Scholarship. For additional information, visit https://maryland.gov.
VI. Reports, Data and Information
AACC and UB will share data relating to student demographics, enrollment, and transfer of credits, as needed, in accordance with FERPA and definitions of Directory Information. All data requests must be submitted in writing and will be subject to review.
VII. Publicity and Promotion
During the term of this Agreement, UB and AACC shall develop and agree upon a mutually acceptable marketing and student recruitment plan to promote this Agreement and transfer pathways and to inform students of the opportunities available. Any and all marketing, promotional or publication materials developed by one party must be reviewed and approved in writing by the other party prior to use of any such materials. AACC agrees to promote transfer pathways to AACC students by allowing UB to place marketing materials in student service centered departments on campus and on the AACC Transfer Agreements website.
Upon written request, AACC agrees to send outreach mailings to AACC students biannually (fall and spring) on behalf of UB to current AACC students with 45 credits or more that are in articulated or parallel programs with UB (e.g., associate’s in Psychology to bachelor’s in Psychology). UB will incur all cost for outreaching mailings.

Any legal proceedings brought pursuant to this Agreement shall be brought in any court of competent jurisdiction in the State of Maryland. The parties will comply with all provisions of the federal Family Educational Rights and Privacy Act (“FERPA”) in all disclosures of FERPA protected information between AACC and UB. For example, the parties may be able to share personally identifiable information
from a student’s record for purposes related to a student’s enrollment or transfer, per 34 C.F.R §§ 99.31 (a)(2) and 99.34. In addition, pursuant to 34 C.F.R § 99.31 (a)(6)(i), the parties may share with each other personally identifiable information from students’ educational records without consent for the sole purpose of conducting studies to develop, validate, or administer predictive tests; administer student aid programs; or improve instruction. Also consistent with FERPA, the parties shall use reasonable methods to ensure that they provide only those education records that are necessary to this Agreement fulfill the purpose for the disclosure as permitted under FERPA. Nothing in this Agreement may be construed to allow the parties to maintain, use, disclose, or share student record information in a manner not allowed under Federal law or regulation applicable laws or regulations.
XIV. Non-Discrimination
There shall be no discrimination on the basis of age, race, color, religion, sex, disability, gender identity, veteran status, sexual orientation, marital status, genetic information, national origin or any other legally protected status with respect to students participating in a transfer pursuant to this Agreement, or as to any actions taken pursuant to this Agreement.
XV. Comply with Applicable Laws
The parties agree to comply with all applicable laws, including without limitation, the transfer requirements set forth in the Annotated Code of Maryland and the Code of Maryland regulations.
If a Qualifying Student is using federal Title 38 VA education Benefits (GI Bill® Education Benefits), the parties shall adhere to all applicable U.S. Department of Veterans Affairs’ regulations, including the regulations governing the awarding prior credit, as regulated under Title 38, Code of Federal Regulations, Sections 21.4253(d)(3) and 21.4254(c)(4).
XVI. Notice of Agreement
The parties agree to provide a copy of this Agreement, with any amendments, to the Maryland Higher Education Commission.
XVII. No Third-Party Beneficiaries
There are no third-party beneficiaries to this Agreement.

Addendum #6 to Memorandum of Understanding
This Addendum supplement is incorporated and becomes part of the Memorandum of Understanding entered into by Anne Arundel Community College (AACC) and University of Baltimore (UB) on 1st day of July 2020 (the "Agreement"). Capitalized terms shall have the meaning set forth in the Agreement. This Addendum shall terminate upon termination or expiration of the Memorandum of Understanding or successive agreement as aforementioned. In the event that the Agreement is renewed, or that the parties enter into a new Memorandum of Understanding, this Addendum shall continue in effect during the renewed or new Agreement duration, unless the parties explicitly state in writing otherwise.
This Addendum establishes a Transfer Pathway in which students from the selected department, major, or track of AACC may seamlessly transfer into the selected major, specialization or program at UB.
Special Admission or Transfer Requirements for this Major/Program: Business Administration, Entrepreneurship Fellows Program.
